- F1Each restricted stock unit ("RSU") represents a contingent right to receive 1 share of the Issuer's Class A common stock upon settlement for no consideration.
- F2100% of the RSUs will vest on the earlier of (i) the date of the Issuer's next annual meeting of stockholders (but only for a non-employee director who does not stand for re-election at, or is not re-elected at, the following year's annual meeting of stockholders but who otherwise serves on the Board until the date of such meeting) or (ii) the date that is one year following the date of grant.
