Explanation of responses
- F1Each Series A Preferred has voting rights to 100 shares of common shares and conversion rights to 10 shares of common shares. If holder decides on complete liquidation of the Series A its liquidation value is $0.10. If holder converts to common, conversion is adjusted on 85% of the common stock price over a 20-day trailing, lowest closing bid price average. No holder can convert shares into an amount of shares of common in excess of 10% of the number common shares traded on issuers market on the date of conversion.
