These LTIP units are owned by BRG Manager, LLC, in which Ramin Kamfar owns an indirect 52% interest and may, subject to certain limitations, be redeemed for cash or, at the Issuer's option, exchanged for shares of the Issuer's Class A common stock, on a one-for-one basis.
