Explanation of responses
- F1These shares represent restricted stock units which will be settled in common stock. The shares of common stock subject to these restricted stock units are payable on the date the director retires or resigns from the Board of Directors of Cloud Peak Energy Inc. (or, if earlier, upon the occurrence of a change in control), provided, however, that if the director retires or resigns before the one-year anniversary of the grant date, the number of shares shall be prorated. As permitted by the applicable award documents, the director elected to defer payment of the shares until the second anniversary of the director's retirement or resignation, subject to earlier payment upon a change in control.
