(the "Company") completed its merger (the "Merger") with the reporting person ("GWRC") pursuant to which GWRC merged with and into the Company, with the Company surviving as a Delaware corporation. The 8,726,747 shares of the Company's common stock held by GWRC prior to the consummation of the Merger were canceled in connection with the Merger.
