Explanation of responses
- F1The award represents a grant of 450,000 restricted stock units ("RSUs") pursuant to the employment agreement between the reporting person and the issuer. Subject to the terms of the grant agreement, the RSUs vest in 4 equal installments, with the first installment vesting on December 31, 2015, and the remaining RSUs vesting on each anniversary of the employment beginning on the second anniversary. Each RSU will automatically convert into one share of common stock on the date that it becomes vested.
