Explanation of responses
- F1The Reporting Person received restricted stock units granted under the Issuer's 2018 Incentive Compensation Plan (the "Plan"). Each restricted stock unit represents a contingent right to receive one share of the Issuer's Common Stock. The restricted stock units vest in three equal increments, one-third of which vested immediately and the remaining two-thirds to vest on the first and second anniversaries of April 14, 2026, the date the Issuer's Board of Directors approved the grant, which was subject to stockholder approval to increase the number of shares reserved for issuance under the Plan (the "Amendment") at the Issuer's 2026 Annual Meeting of Stockholders held on June 30, 2026 (the "Annual Meeting"). The Issuer's stockholders approved the Amendment on June 30, 2026.
