Explanation of responses
- F1Reflects the disposition of shares of issuer common stock in connection with the merger (the "Merger") of the issuer with and into Moody National REIT II, Inc. ("Moody II"). In the Merger, each share of issuer common stock was converted into the right to receive either (i) cash, in the amount of $10.25 per share of issuer common stock (the "Per Share Cash Consideration") or (ii) 0.41 shares of Moody II common stock per share of issuer common stock. The reporting person elected to receive the Per Share Cash Consideration for each of his shares of issuer common stock. Pursuant to the agreement and plan of merger governing the Merger, the parties thereto agreed that the price of each share of Moody II common stock was $25.00.
