Explanation of responses
- F1Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.
- F2These restricted stock units shall vest in two equal installments over a two year period, with 50% of the restricted stock units that vested on September 11, 2015 and the remaining 50% becoming vested on September 11, 2016, each vesting subject to the Registrant's continued service as a director. These restricted stock units also provide for accelerated vesting in the event of an acquisition of the Issuer.
