- F2Pursuant to the Merger Agreement, (i) 223,475 shares of restricted common stock vested immediately prior to the Effective Time (as defined in the Merger Agreement) and were cancelled in exchange for the right to receive 1.5226 shares of Annaly restricted common stock per share of common stock, and (ii) 245,182 shares of common stock were exchanged for the right to receive the Offer Consideration or Common Merger Consideration (each as defined in the Merger Agreement).
