Explanation of responses
- F1Restricted Stock Units ("RSUs"). The Reporting Person is entitled to receive one (1) share of Common Stock for each one (1) RSU upon vesting. 100% of the RSUs shall vest on the earlier of (i) June 21, 2017 or (ii) immediately prior to the next annual meeting of the Issuer's stockholders, subject to the Reporting Person continuing in service on the Issuer's Board of Directors through such vesting date.
