Explanation of responses
- F1Acquired beneficial ownership (by virtue of the reporting person's interest in DISH Network Corporation) in a transaction pursuant to which, among other things, the issuer and Hughes Satellite Systems Corporation, a then wholly-owned subsidiary of the issuer, issued Hughes Retail Preferred Tracking Stock to DISH Network L.L.C., an indirect, wholly-owned subsidiary of DISH Network Corporation, in exchange for five satellites owned by DISH Network L.L.C. (EchoStar I, EchoStar VII, EchoStar X, EchoStar XI and EchoStar XIV) (including related in-orbit incentive obligations and interest payments of approximately $58.9 million) and approximately $11.4 million in cash. The reporting person is the controlling shareholder of DISH Network Corporation.
