Explanation of responses
- F1Restricted stock units. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock, par value $0.001 per share (the "Common Stock"). The restricted stock units vest in 12 ratable monthly installments hereafter, subject to Mr. Schiff's continued service with the Issuer, and upon vesting Mr. Schiff receives shares of Common Stock.
- F2Issued pursuant to the 2011 Equity Incentive Plan of the Issuer.
- F3Consists of 6,938 shares of Common Stock shares and 6,199 restricted stock units. Such shares of Common Stock include 87 shares of Common Stock held by a trust for the benefit of Mr. Schiff's children.
- F4The shares of Common Stock are directly held by Aisling Capital III, LP ("Aisling") and are indirectly held by Aisling Capital Partners III, LP ("Aisling GP"), as general partner of Aisling, Aisling Capital Partners III, LLC ("Aisling Partners"), as general partner of Aisling GP, and each of the individual managing members of Aisling Partners.
