- F110,000 of the securities are held by Iroquois Master Fund Ltd. (the "Fund") and 5,500 of the securities are held by Iroquois Capital Investment Group ("ICIG"). Mr. Abbe is a managing member of ICIG and is president of Iroquois Capital Management L.L.C, who has the authority and responsibility for the investments made on behalf of the Fund and ICIG and, as such, may be deemed to be the beneficial owner of all shares of common stock held by the Fund and by ICIG. Mr. Abbe disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
