Explanation of responses
- F1The original Form 4 filed August 23, 2016 (the "Original Form 4") incorrectly stated that the reporting person disposed of 6,100 shares, when he actually disposed of 1,304 shares. As a result, the Original Form 4 also incorrectly understated the resulting amount of shares beneficially owned following the transaction in Column 5. This amendment corrects the Original Form 4 by accurately: (1) reporting that 1,304 shares were sold; and (2) stating that the reporting person beneficially owned 13,603 shares following this sale.
- F2The number of shares beneficially owned by the reporting person following this transaction was incorrectly reported on the Original Form 4 as a result of the error described in Footnote 1. This amendment corrects the Original Form 4 by accurately stating that the reporting person beneficially owned 8,803 shares following this sale.
- F3The number of shares beneficially owned by the reporting person was understated as a result of the error described in Footnote 1 on one additional Form 4 filed after the Original Form 4, which was filed on August 26, 2016.
