Explanation of responses

F1The Issuer issued 2,948,431 shares at a deemed price of CAD$0.252 (approx. USD$0.18) per share in settlement of CAD$743,005 (approx. USD$541,205) accrued interest, which transaction is exempt under Rule 16b-3(d) of the Securities Exchange Act of 1934.
F2The Issuer issued 746,811 bonus shares and 746,811 bonus warrants as partial consideration for cash advances made under the terms of a loan agreement between the Issuer, i-minerals USA Inc. and BV Lending, LLC dated February 18, 2015, which transaction is exempt under Rule 16b-3(d) of the Securities Exchange Act of 1934.
F3The bonus shares were issued for no additional consideration at deemed prices ranging from CAD$0.22 to CAD$0.255 per share.
F4The bonus warrants are exercisable for common shares of the Issuer at prices ranging from CAD$0.22 to CAD$0.291 per share expiring on the earlier of December 31, 2018 and the date the amount of the individual advance pursuant to which the bonus warrants were issued has been repaid in full.
