- F1Shares of Common Stock issued pursuant to Share Purchase Agreement dated November 18, 2013, as previously reported in Issuer's Quarterly Report on Form 10-Q filed May 9, 2014.
- F2Common Stock granted to Reporting Person pursuant to Issuer's 2009 Equity Incentive Plan and subject thereto. Grant of restricted stock subject to forfeiture. 100% of the shares will become vested and nonforfeitable on the twelve (12) month anniversary of May 29, 2014 (the "Vesting Commencement"), subject to continued service of Reporting Person's representative as a member of the Company's Board of Directors and subject to the terms and conditions of a Restricted Stock Purchase Agreement entered into between the Company and the Grantee.
- F3The reporting person Dr. Daniel M. Matjila is currently the Chief Executive Officer and an Executive Director of the reporting entity Public Investment Corporation (SOC) Limited. Pursuant to an agreement between Dr. Matjila and Public Investment Corporation (SOC) Limited, Dr. Matjila assigned any compensation he received from the Company to Public Investment Corporation (SOC) Limited. Dr. Matjila disclaims beneficial ownership of such shares.
