Explanation of responses
- F1In consideration for Mr. Schweitzer's acceptance to serve as a director of the Company on August 22, 2018, the Company granted 750,000 restricted shares of its common stock to Mr. Schweitzer, subject to time served vesting, and an additional 750,000 in the future subject to achievement of performance based milestones to be determined by the Board of Directors. The following vesting schedule applies to 750,000 of the shares: 62,500 shares per quarter over a 36 month period commencing to accrue on September 30, 2018, issuable quarterly on the last day of each calendar quarter; provided, that the first release will be of 62,500 shares on December 31, 2018 and the last release will be of 62,500 shares on September 30, 2021.
