Explanation of responses
- F1Under the Issuer's Plan of Reorganization (the "Plan") as approved by the Bankruptcy Court entered February 4, 2014 (the "Effective Date"), the reporting person's number of shares held prior to the Effective Date was reduced from 6,625,693 to 1,367,193 shares of Common Stock. In addition, in accordance with the Plan, the issuer issued an aggregate of 964,547 shares of Common Stock in settlement of debt owed to the reporting person.
- F2All shares issued under the Plan were distributed among a number of family trusts of which the reporting person is a trustee, as follows: (i) 10,594,776 shares are held by The Georgiou Family Trust dated 6/22/09, (II) 6,000,000 shares are held by The Georgiou Children Gift Trust, (III) 8,404,000 shares are held by Georgiou Consulting Inc. Money Purchase Plan, (iv)309,525 shares are helf by Byron FBO Theresa Exemption Trust, and (v) 309,525 shares are helf by Theresa FBO Byron Exemption Trust. The reporting person disclaims beneficial ownership in shares helf by (i), (ii), and (iii).
