Explanation of responses
- F1The 16,520,000 shares were previously reported as held by D Mecatronics on behalf of shareholders in D&R Technology Inc., of which Mr. Paolucci had sole voting and dispositive power. On August 8, 2014, the Issuer entered into that certain escrow agreement with its transfer agent, Manhattan Transfer Inc, pursuant to which D Mecatronics returned to Manhattan Transfer the share certificate evidencing the shares of the Issuer and a new share certificate was issued to Manhattan Transfer as trustee to hold the 16,520,000 shares in escrow.
