Explanation of responses
- F11/12th of the original number of shares of stock subject to the Option (rounded down to the next whole number of shares) shall vest on the same day of each one-month period of Reporting Person's service as a Director following the Vesting Commencement Date, such that the Option shall be 100% vested on the first anniversary of the Vesting Commencement Date, subject to the Reporting Person's continuing service on the board of directors through such dates. The shares subject to the Option shall vest on an accelerated basis in the event of the occurrence of a Change in Control as described in Section 3.1(c) of the Stock Option Agreement.
