(the "Issuer") granted to the reporting person on November 10, 2016, as partial payment of an installment of a bonus award granted pursuant to the reporting person's employment agreement (the "Bonus Award"). The Issuer has the right to pay each installment of the Bonus Award in cash, shares of the Issuer's common stock, or a combination of cash and shares of Issuer common stock at the sole discretion of the Compensation Committee of the Issuer's Board of Directors.
