Explanation of responses
- F1The stock option grant is contingent upon the Issuer's stockholders approving an amendment to the Issuer's 2008 Stock Incentive Plan, as amended (the "Plan") to increase the number of shares issuable under the Plan by at least 2 million. If the Issuer's stockholders do not approve such an amendment on or before June 30, 2016, the stock option shall automatically convert to a cash-settled stock appreciation right that is subject to the same terms and conditions as the stock option.
