Explanation of responses
- F1Exempt transaction pursuant to Section 16b-3(e) - payment of exercise price or tax liability by delivering or withholding securities incident to the receipt, exercise or vesting of a security issued in accordance with Rule 16b-3. These shares were withheld and cancelled by Glu Mobile Inc. ("Glu") at the market price of $3.53 per share less the exercise price of $2.90 to fund the cashless exercise of 237,500 options owned by Mr. de Masi.
- F2Exempt transaction pursuant to Section 16b-3(e) - payment of exercise price or tax liability by delivering or withholding securities incident to the receipt, exercise or vesting of a security issued in accordance with Rule 16b-3. These shares were relinquished by Mr. de Masi and cancelled by Glu in exchange for Glu's agreement to pay federal and state tax withholding obligations of Mr. de Masi resulting from the vesting of RSUs. Mr. de Masi did not sell or otherwise dispose of any of these shares for any reason other than to cover required taxes.
- F3The option vested and became exercisable with respect to 25% of the shares on October 20, 2012, with the remaining shares vesting and becoming exercisable in equal monthly installments over the following three years.
