Explanation of responses
- F1Mr. Quandt was granted 7,246 restricted stock units ("RSUs") in connection with his continued service as the Non-Executive Chairman of the Company's Board of Directors (the "Board") pursuant to the Company's Outside Director Compensation Program. Each RSU represents the right to receive one share of the Company's common stock upon vesting. Subject to Mr. Quandt's continued service on the Board through the applicable vesting date, the RSUs will vest in eight (8) substantially equal installments commencing on March 31, 2017 and on each 3-month anniversary thereafter ending December 31, 2018.
