Explanation of responses
- F1This Form 4 amendment is being filed to amend the Form 4 previously filed on February 24, 2017 in order to correct the transaction code in column 3 from "S" to "A" in connection with the grant of 200,000 RSUs to Mr. Moriarty on February 21, 2017.
- F2Mr. Moriarty was granted 200,000 restricted stock units ("RSUs") in connection with his continuing employment with Leaf Group Ltd. ("LFGR"). Each RSU represents the right to receive one share of LFGR common stock upon vesting. Subject to Mr. Moriarty's continued employment through the applicable vesting dates, (i) 1/3 of the RSUs will vest on March 1, 2018 and (ii) the remaining 2/3 of the RSUs will vest in 24 substantially equal installments on each monthly anniversary thereafter.
