Explanation of responses
- F1Represents the number of shares subject to performance-based restricted stock units that vested on February 23, 2016. The reported shares represent a portion of the PSUs awarded to the reporting person in 2015. The remaining unvested performance-based restricted stock units will be earned, if at all, based on the company's 2016 revenue performance.
- F2Exempt transaction pursuant to Section 16b-3(e) - payment of tax liability by withholding securities incident to the vesting of a security issued in accordance with Rule 16b-3. All of the shares reported as disposed of in this Form 4 were relinquished by the Reporting Person and cancelled by the Issuer in exchange for the Issuer's agreement to pay federal and state tax withholding obligations of the Reporting Person resulting from the vesting of restricted stock units.
