Explanation of responses
- F1Grant of restricted shares under the Amended and Restated Aircastle Limited 2014 Omnibus Incentive Plan (the "2014 Plan"). Shares vest ratably in three installments on January 1, 2020, January 1, 2021 and January 1, 2022 subject to the terms of the 2014 Plan and related grant documents.
- F2On March 11, 2016, the reporting person was granted Performance Share Units (the "PSU's"). The PSU's, which vested as of December 31, 2018, were subject to the reporting person's continued employment by the Company and the achievement of specific performance criteria, as determined by the Compensation Committee. Effective February 8, 2019, the Compensation Committee determined the performance criteria had been achieved.
