- F1New River Management V, LP ("NRM V") made a liquidating distribution of its assets to its partners in connection with the dissolution of the partnership in accordance with the terms of the limited partnership agreement. Mr. Alvarez and his spouse (as tenants by the entirety) were limited partners in NRM V and acquired beneficial ownership of the common stock to which this Form 4 relates on the date set forth in Column 2 of Table 1.
