- F1New River Management IV, LP ("NRM IV") made a liquidating distribution of its assets to its partners in connection with the dissolution of the partnership in accordance with the terms of its limited partnership agreement. Mr. Frank was a limited partner in NRM IV and acquired beneficial ownership of the common stock to which this Form 4 relates on the date set forth in Column 2 of Table I.
