Explanation of responses
- F1This Form 4 omits an aggregate of 467,037 shares of common stock of Snap Interactive, Inc. (the "Issuer") that were erroneously reported as being owned by the reporting person in prior filings (the "Escrow Shares"). The Escrow Shares represented shares held in escrow on behalf of the former shareholders of A.V.M. Software, Inc. ("AVM") pursuant to the terms of a merger agreement between AVM and the Issuer.
- F2On May 30, 2017, the escrow agreement was terminated and all of the Escrow Shares were distributed to the former shareholders of AVM. While the Escrow Shares were held in escrow, the reporting person had the right to vote such shares in his capacity as representative of the former shareholders of AVM. However, the reporting person had no pecuniary interest in the Escrow Shares at any time.
- F3Represents shares held by the spouse of the reporting person. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 of the Securities Act of 1933, as amended, or for any other purpose.
