Explanation of responses
- F1The shares are held directly by FP Annual Fund Investors, LLC ("FPAFI"). The Reporting Person is one of the partners of Francisco Partners Management LP ("FPM LP"), the manager of FPAFI, and may be deemed to beneficially own such shares. The Reporting Person disclaims beneficial ownership of the securities held by FPAFI except to the extent of any pecuniary interest therein. This transaction was executed in multiple trades at prices ranging from approximately $38.80 to $39.50, inclusive.
Remarks
This report is one of two reports, each on a separate Form 4, but relating to the same transaction being filed by Francisco Partners and certain of its affiliated funds and partners.
