Explanation of responses
- F1On January 1, 2015, the Reporting Person was awarded a number of Performance-Based Restricted Stock Units (PSUs) within a preset range, with the actual number contingent upon the achievement of certain performance criteria. The Compensation Committee of the Issuer's Board of Directors approved the achievement of the performance criteria on February 15, 2016 and determined the actual number of PSUs was 10,091. The PSUs vest in three installments on each of February 15, 2016 (the date of the Compensation Committee's determination), January 1, 2017, and January 1, 2018.
