F1The reporting person is a party to a series of seven Put Option Agreements, each dated as of February 28, 2013 (the "Put Option Agreements"), with the other parties named therein under which the reporting person granted a series of put options obligating the reporting person to purchase for $9.00 per share an aggregate total of 1,011,557 shares of common stock of the issuer, at the request of the counterparty to each Put Option Agreement, during the six month period commencing on August 28, 2014 and expiring on February 28, 2015.
