- F1These equity securities are owned (x) directly by Mercuria Asset Holdings (Hong Kong) Limited, a company incorporated in Hong Kong with limited liability ("Mercuria HK") and (y) indirectly by (i) Mercuria Energy Group Limited, a company incorporated under the laws of Cyprus with limited liability ("MEG"), as the direct parent of Mercuria HK, and (ii) Mercuria Energy Group Holding Ltd., a company incorporated under the laws of the British Virgin Islands with limited liability ("Holding"), as the beneficial owner of 79.8228% of the capital stock of MEG, including 100% of the voting capital stock of MEG;
- F2(iii) MDJ Oil Trading Ltd., a company incorporated in Guernsey with registered number 36948 and whose registered office is at 1 Le Marchant Street, St Peter Port, GY1 4HP, Guernsey ("MDJ"), as the beneficial owner of 41.07% of the capital stock of Holding; (iv) MDJ Partnership, a Guernsey partnership not formally registered ("MDJ Partnership"), as the beneficial owner of 100% of the capital stock of MDJ; (v) Marco Dunand, as the beneficial owner of 44.31% of the partnership interests in the capital stock of Holding owned by MDJ; (vi) Daniel Jaeggi as the beneficial owner of 39.44% of the partnership interests in the capital stock of Holding owned by MDJ; and (vii) Mercuria ESOP Limited, a Republic of the Marshall Islands corporation, which beneficially owns 20.334274% of Holding and 20.1772% of the non-voting capital stock of MEG.
