Explanation of responses
- F1Reflects a grant of restricted shares of the issuer's Class A common stock. 31,000 shares may be earned upon achievement of pre-established performance goals over a three-year performance period and, of such shares earned, 50% vest immediately upon certification of achievement of the performance goals and 50% vest on the first anniversary of such certification date. 12,200 shares vest in four approximately equal installments on each anniversary of the grant date, subject to the reporting person's continued employment with the issuer on each vesting date.
