Explanation of responses
- F1Represents the conversion upon vesting of restricted stock units into common stock. Pursuant an employment agreement entered into between the Issuer and the Reporting Person, the Issuer agreed to grant the Reporting Person restricted stock units under the Issuer's 2009 Equity Incentive Plan, vesting in three equal installments on (i) March 1, 2013, (ii) March 1, 2014 and (iii) March 1, 2015. Each restricted stock unit represents a contingent right to receive one share of common stock of the Issuer.
