- F1Represents the annual equity grant to non-employee directors pursuant to the issuer's Board of Directors Compensation Plan. In lieu of a common stock grant, the reporting person elected to receive her annual equity award as restricted stock units that vest upon the earlier of the reporting person's separation of service from the Board of Directors or a change in control of the issuer.
