Explanation of responses
- F1This represents an award of restricted stock units. Each unit represents a contingent right to recieve one share of the company's common stock upon vesting. The restricted stock units vest as to 50% of the underlying shares on each of the one- and two-year anniversaries of the vesting commencement date of August 16, 2016, subject to Ms. Tauscher's continued service with the company. In addition, the restricted stock units will accelerate vesting in full if a change in control occurs before Ms. Tauscher's service terminates.
- F2Total amount of shares benefically owned includes shares deferred upon vesting of certain restricted stock units. The deferred shares will be settled in accordance with the terms of the deferral election.
