- F1Each Phantom Share may be settled upon vesting by delivery of either, at Issuer's option, (i) one share of Issuer's common stock or (ii) cash equal to the market price of one share of Issuer's common stock.
- F2Phantom Shares cliff vest on January 4, 2017 subject to continued service on the Board of Directors. In the event the proposed merger with Shenandoah Telecommunications Company is consummated prior to January 4, 2017, a pro rata portion of the Phantom Shares (based on the numbers of days elapsed) shall immediately vest.
