Explanation of responses
- F1In connection with the secondary offering of shares by certain selling shareholders pursuant to an underwriting agreement (the "Underwriting Agreement") and prospectus supplement, each dated December 18, 2015, the Reporting Person, as a selling shareholder, sold shares in the amounts shown in the above table. The secondary offering is scheduled to close on December 23, 2015, subject to normal closing conditions. This amount represents the $24.25 price to public per share, less the underwriting discount of $0.970 per share.
