Explanation of responses
- F1Pursuant to the terms of a governance agreement with the Issuer, on April 13, 2015, the Reporting Person irrevocably exercised its preemptive right to purchase shares of common stock. The Reporting Person expects to consummate the purchase of the shares subject to the preemptive right within 10 business days of such date. The number of shares subject to the preemptive right and the purchase price thereof were determined pursuant to the terms of the governance agreement.
