Explanation of responses
- F1Distribution from KA Fund Advisors, LLC (KAFA) in connection with the purchase of newly issued shares of the Company by KAFA and its principals funded in part by the investment of 100% of the after-tax management fees received during the quarter. The purchase price was the greater of market price and net asset value as of the close of business on Friday, December 18.
- F2Such shares are owned by Kayne Anderson Capital Advisors, LP ("KACALP") the managing member of KAFA. Richard Kayne is the majority owner and chairman of KACALP. Mr. Kayne disclaims beneficial ownership of all shares held or controlled by KACALP except to the extent of his pecuniary interest therein.
