Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock, subject to the applicable time-based vesting schedule and conditions of each RSU and the Reporting Person continuing as a service provider through the applicable vesting date. These RSUs were granted to the Reporting Person as an annual award for service on the Issuer's board of directors, in accordance with the Issuer's outside director compensation policy.
