Explanation of responses
- F1On April 27, 2015, Sutton Global Associates Inc., a Nevada corporation ("Sutton"), SavWatt Kaz Ltd., a limited liability partnership organized under the laws of Kazakhstan ("SavWatt"), and Huayue Electronics Inc., a Delaware corporation (the "Company") entered into and consummated a Partnership Interest Purchase Agreement, pursuant to which the Company purchased from Sutton partnership interests representing 51% of the outstanding partnership interests of SavWatt, in consideration for the issuance of 3,000,000 shares of common stock in the Company (the "Common Stock") to Sutton. Mr. Isaac H. Sutton possesses voting and investment control with respect to the Common Stock held by Sutton. Therefore, Mr. Isaac H. Sutton may be deemed to be the beneficial owner of the shares of Common Stock held by Sutton. Except to the extent of his ownership interests in Sutton, Mr. Isaac H. Sutton disclaims beneficial ownership of the Common Stock held by Sutton.
