Explanation of responses
- F1Received in connection with the merger (the "merger") of Gramercy Property Trust Inc. ("Old Gramercy") with and into a subsidiary of Gramercy Property Trust (formerly known as Chambers Street Properties) (the "Company"), in exchange for shares of phantom stock of Old Gramercy. The reporting person settled half of his shares of phantom stock of Old Gramercy for cash, partially to satisfy certain tax liabilities.
