- F1The sales reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on February 26, 2014.
- F2This sale price represents the weighted average sale price of the shares sold ranging from $12.02 to $12.12 per share. Upon request by the Commission staff, the Issuer, or a security holder of the Issuer, the Reporting Person will provide full information regarding the number of shares sold at each separate price within the range set forth in this Form 4.
- F3Includes restricted stock units granted to the reporting person. Each restricted stock unit represents a contingent right to receive one share of Issuer's Common Stock.
- F4The Option shares shall vest as follows: 1/48th of the total number of Shares subject to the Option shall vest and become exercisable each month over the forty-eight months following April 1, 2011, subject to Reporting Person's Continuous Service (as defined in the Issuer's 2002 Stock Plan) as of each date.
