Explanation of responses
- F11 for 1.
- F2The stockholders approved the Company's new Equity Incentive Plan on June 23, 2015. Upon such approval, the phantom stock referred to herein became payable in common stock (as described in footnote 3). Prior to such approval, the shares of phantom stock were only payable in cash. The number of shares of phantom stock was fixed on 1/01/15, 1/15/15, 4/01/15 and 4/15/15, respectively.
- F3The phantom stock units become payable in common stock (or in certain cases in cash) upon (unless the reporting person elects otherwise in accordance with the documents governing the applicable program) the earlier of (i) the January 1 coincident with or next following the earlier of (A) the reporting person's ceasing to be a director, and (B) the reporting person's death, and (ii) a change of control of the Company (as determined under such governing documents).
