Explanation of responses
- F1The disposition represents the surrender of common shares to fund income taxes due upon the vesting of restricted shares.
- F2LP Units are redeemable for an equal number of Common Shares of Kite Realty Group Trust ("Kite") or, at the election of Kite, cash equal to the fair market value of such shares. As noted in Footnote 3 above, units have no expiration date and are all currently redeemable for Common Shares or cash at the election of Kite.
- F3Represents the LTIP units pursuant to the Kite Realty Group Trust 2013 Equity Incentive Plan. LTIP units will vest in equal amounts on 2/17/17, 2/17/18, 2/17/19, 2/17/20, and 2/17/21.
