Explanation of responses
- F1Each restricted stock unit represents a contingent right to receive one share of common stock of Ply Gem Holdings, Inc. (the "Issuer").
- F2The restricted stock units vest on January 1, 2020 (the "Vesting Date"), subject to the reporting person's continuing employment with the Issuer. If the reporting person is terminated without cause or for good reason, a portion of the restricted stock units will vest on the Vesting Date in a number equal to the proportion of days that have elapsed during the period beginning on the grant date and ending on the date of such termination, compared to the days that would elapse during the period beginning on the grant date and ending on the Vesting Date. If the reporting person is terminated due to death or disability, all restricted stock units will vest upon such termination.
